L’Offerta non è, e non sarà, promossa né diffusa, direttamente o indirettamente, negli Stati Uniti, in Canada, in Giappone e in Australia, nonché in qualsiasi altro Paese in cui l’Offerta non sia consentita in assenza di autorizzazione da parte delle competenti autorità o di altri adempimenti (tali Paesi, inclusi Stati Uniti, Canada, Giappone e Australia, collettivamente, gli “Altri Paesi”). This section of the website contains information and documents on the voluntary tender offer (the “Offer”) regarding all the special shares (the “Special Shares”) of Il Sole 24 Ore S.p.A. (“Il Sole 24 Ore” or the “Company”), other than the Special Shares held by Confidustria and the treasury special shares held by the Issuer, launched by Confidustria Servizi S.p.A., through a newly incorporated company (the “Offeror”), whose share capital is wholly owned by Confindustria Servizi, pursuant to articles 102 and ss. of Legislative Decree 58/1998 (“TUF”).
The Offer – communicated on April 9th, 2025 - is addressed, indiscriminately and on equal terms, to all holders of the Shares and will be promoted on the Italian market only.
The Offer has not been and will not be made, directly or indirectly, in the United States, Canada, Japan, Australia and any other jurisdictions where making the Offer or tendering therein would not be in compliance with the securities or other laws or regulations of such jurisdiction or would require any registration, approval or filing with any regulatory authority (such jurisdictions, including the United States, Canada, Japan and Australia are referred to as the “Other Countries”). The Offer is and will be made through the publication, by the Offeror, of the offer document previously approved by CONSOB.
